End User License Agreement (EULA)

1. Acceptance of Terms

By accessing or using ReactWolf (the "Service"), operated by ReactWolf Engineering LLC ("Company"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. These terms apply to all users including merchants, employees, and administrators.

2. Description of Service

ReactWolf is an AI-powered loss prevention and merchant intelligence platform that integrates with point-of-sale systems (Clover, Square) to provide real-time fraud detection, employee risk scoring, upsell recommendations, and business analytics. The Service processes transaction data from your connected POS accounts to deliver insights through a web-based dashboard.

3. Account Registration

You must:

  • Provide accurate and complete registration information
  • Verify your email address before accessing the Service
  • Set up two-factor authentication (mandatory for all accounts)
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access to your account

You are responsible for all activity that occurs under your account.

4. POS Integration & Data Access

By connecting your Clover or Square account to ReactWolf, you authorize us to access your payment, order, employee, inventory, and merchant data through OAuth 2.0. You may revoke this access at any time through your POS provider's account settings. Upon revocation, we will stop accessing new data but previously collected data will be retained according to our data retention policy unless you request deletion.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to reverse engineer, decompile, or disassemble the Service
  • Interfere with or disrupt the Service infrastructure
  • Share your account credentials with unauthorized parties
  • Use the AI features to generate content unrelated to your business operations
  • Circumvent any access controls, rate limits, or security measures
  • Use the Service to make employment decisions solely based on AI-generated risk scores without human review

6. AI-Generated Content Disclaimer

ReactWolf uses machine learning models and large language models to generate risk scores, anomaly alerts, policy recommendations, and business insights. These outputs are advisory in nature and should not be used as the sole basis for employment, legal, or financial decisions. AI-generated recommendations may contain errors. You are responsible for independently verifying any AI-generated analysis before taking action.

7. Pricing & Payment

ReactWolf offers a free tier with limited features. Paid plans are billed monthly or annually as described on our pricing page. Prices are subject to change with 30 days' notice. Refunds are available within 14 days of initial purchase. No refunds are provided for partial months of service.

8. Intellectual Property

The Service, including its machine learning models, algorithms, user interface, documentation, and branding, is the intellectual property of ReactWolf Engineering LLC. You are granted a limited, non-exclusive, non-transferable license to use the Service for your business purposes. Your business data remains your property. We claim no ownership over your transaction, employee, or inventory data.

9. Service Availability

We strive for high availability but do not guarantee uninterrupted service. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any loss resulting from service downtime.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEOCORTECH LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless ReactWolf Engineering LLC from any claims, damages, losses, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

Either party may terminate this agreement at any time. You may delete your account through the Settings page or by contacting info@reactwolf.com. We may suspend or terminate your account for violation of these Terms. Upon termination, your right to use the Service ceases immediately and your data will be deleted within 30 days.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of Delaware.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email at least 30 days before the changes take effect. Continued use of the Service after changes constitutes acceptance of the updated Terms.
